TERMS AND CONDITIONS

You must read and agree to the following terms and conditions before using this software program (the "Software"). Use of the Lighthouse Trader software indicates your acceptance of these terms and conditions.

Definition of Terms

Lighthouse Trader LLC is referred to as the “Company.”

The employees, representatives, suppliers, partners, associates, contractors, and affiliates of Lighthouse Trader LLC are collectively referred to as “Associates.”

Any software or information provided by Lighthouse Trader LLC is collectively referred to as the “Service.”

www.lighthousetrader.com is referred to as the “Web site.”

Ownership and Copyright of the Software

Lighthouse Trader LLC is the copyright owner of all software and content found on the
Web Site unless otherwise indicated. The Software is owned by Lighthouse Trader LLC or
its suppliers.  You agree not to copy the Software except as is explicitly authorized by these terms and conditions. You may not transmit all or any part of the Software to third parties. You may not modify, reverse engineer, or decompile the Software. "Lighthouse Trader"
is the trademark of Lighthouse Trader LLC. "Lighthouse Trader" is the trademark of Lighthouse Trader LLC.

Grant of License

Lighthouse Trader LLC grants you, the "End-User", a non-exclusive license to use one copy of the Software on a single computer, contingent upon your timely payment of any agreed upon subscription or other fees to the Company or its authorized agent. This license may not be assigned, leased, rented, sublicensed, or otherwise transferred by you.

No Financial Advice

This software, and the Lighthouse Trader web site, are provided for informational and educational purposes only. License to use this software and the aforementioned web site
is granted to the End-User with the understanding that Lighthouse Trader LLC is not engaged in providing investment, tax, legal, or other professional advice. End-users
should always consult with their financial advisor or tax advisor to determine the suitability
of any investment.

Lighthouse Trader LLC is not an investment advisory service, nor a registered investment advisor, nor a broker-dealer. The Company does not purport to tell or suggest which securities should be bought or sold. No information provided on or through the the Web Site or this Software should be construed as a recommendation or solicitation to buy or sell a security or any other financial device.

Risk Statement

There is a high degree of risk in trading. You can sustain losses equal to or greater than your entire investment capital. You should not invest money that you cannot afford to lose. The Company and its Associates assume no responsibility for your trading results. It should not be assumed that the information, methods, techniques, set-up patterns, or indicators offered by this Software or on or through the Lighthouse Trader web site will be profitable. They may in fact result in losses. Past results are not necessarily an indicator of future results.

Simulated Trading

Any trading simulations have inherent limitations. Simulated trading does not represent actual trading. Simulated trading systems are designed with the benefit of hindsight. They are not subject to factors such as lack of liquidity. These and other factors may cause the results of simulated trading systems to differ significantly from actual trading in the
real world.

THE “SERVICE” IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, ANY WARRANTY FOR INFORMATION, DATA, SERVICES, UNINTERRUPTED ACCESS, ACCURACY, OR PRODUCTS PROVIDED THROUGH OR IN CONNECTION WITH THE SERVICE. SPECIFICALLY, LIGHTHOUSE TRADER LLC  DISCLAIMS ANY AND ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO: (i) ANY WARRANTIES CONCERNING THE AVAILABILITY, ACCURACY, USEFULNESS, OR CONTENT OF INFORMATION, PRODUCTS OR SERVICES; AND (ii) ANY WARRANTIES OF TITLE, WARRANTY OF NON-INFRINGEMENT, WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. BECAUSE SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. No Liability

Use of this software or the Lighthouse Trader web site is entirely at your own risk.

In no event shall Lighthouse Trader LLC or its Associates be liable for any special, incidental, or consequential damages whatsoever, (including without limitation, damages for loss of profits, loss of business information, business interruption or other pecuniary loss) arising out of the use or inability to use the Software or the data which the Software uses or relies upon or the instructions provided by Lighthouse Trader LLC or its Associates in the process of providing technical support, even if Lighthouse Trader LLC or its Associates have been advised of the possibility of such damage.

To the maximum extent permitted by law, Lighthouse Trader LLC and its Associates disclaim all other warranties, either expressed or implied, including but not limited to warranties of merchantability and fitness for a particular purpose.

No Warranty on Data

Neither Lighthouse Trader LLC nor any of its suppliers shall have any liability for inaccuracies or defects in the data used or relied upon by the Software, regardless of any loss you may incur as a result of said inaccuracies or defects. Lighthouse Trader LLC and its suppliers make no warranty regarding the accuracy, timeliness, or availability of any data used or relied upon by the Software.

While the Company believes that the Software is capable of successfully loading the data which the Software uses and relies upon, data formats and other factors relating to the data can change outside of the control of the Company. Therefore, Lighthouse Trader LLC makes no warranty regarding the ability of the Software to successfully load any data which it uses or relies upon, even if such inability is due to a defect in the Software. Furthermore, Lighthouse Trader LLC reserves the right to discontinue support for any source of data at any time for any reason, without prior notice to the End-User.

Privacy and Security

The End-User understands and agrees that the Software may automatically contact a web site managed by the Company for the following purposes:

• verifying the End-User's authorization to run the Software
• enabling or disabling various features of the Software
• codes indicating which features of Lighthouse Trader are used
• obtaining informational messages and presenting them to the End-User
• facilitating technical support in the operation of the Software
• monitoring usage levels of the Software

To accomplish these purposes, a unique user ID may be assigned to each End-User.

The information transmitted by the Software over the internet to the web site managed by the Company will be limited to the following items:

• the user ID assigned to the End-User
• software version identification information
• a timestamp
• PC configuration information relating to the operation of the Software, but only if explicitly authorized by the End-User, and only for the purpose of facilitating technical support for the Software

No personal information about the End-User, the End-User's actions, or the End-User's PC will be collected or sent over the internet by the Software, except as detailed above.

Data Access

The End-User understands and authorizes the Software to access Data Provider web sites for the purposes of downloading stock market and related data (the "Data") upon which the Software relies.

Data Providers may require and assign a unique user ID and password for access to their web site. The End-User authorizes the Software to store these user ID's and passwords, in encrypted form, on the user's PC. The Software will use these user ID's and passwords for the purpose of downloading the Data on behalf of and for the sole use by the End-User.

The End-User acknowledges and confirms that he or she is authorized and entitled to download data supplied by any Data Provider chosen by the End_user for use with the Software, and agrees to indemnify and hold harmless Lighthouse Trader LLC and its suppliers and associates from any liability arising from the downloading and use of
this data.

Subscriptions

License to use the Software may be granted based on payment of a recurring subscription fee. In this case, the End-User’s credit card will be automatically billed for each subscription period at the then current subscription fee rate. Subscriptions are renewed automatically until notice is received from the End-User to cancel the subscription.

Cancellation of Subscriptions

User’s may cancel their subscription to Lighthouse Trader at any time. Subscriptions may be cancelled from the PayPal account where the subscription was originally authorized.

Refund Policy

Partial refunds for the most recent, incomplete, subscription interval, when such interval is longer than one month, shall be given if the End-User notifies the Company of his or her decision to discontinue use of the Software and requests a refund. The amount of refund the End-User is entitled to will be prorated based on the date the Company receives notification of the End-User's decision to discontinue use of the Software. However, no refunds shall be granted for incomplete subscription intervals when the duration of the interval is one month or less. Payment method for refunds shall be at the sole discretion of the Company.

Termination of Agreement

You agree that Lighthouse Trader LLC may terminate your subscription to the Service at any time, and without cause, upon notification by telephone or email. You acknowledge and agree that we may terminate your password or account or subscription or deny you access to the Service without prior notice if you engage in any conduct or activities that we, in our sole discretion, believe violate any of these terms and conditions or the rights of Lighthouse Trader LLC.

Changes to Terms and Conditions

Product pricing, and these terms and conditions, are subject to change without notice. They may be changed at any time at the Company's sole discretion.

Severability

If any provision of these terms and conditions is determined to be invalid or unenforceable, that provision will be enforced to the maximum extend permissible, and the remaining provisions will still be valid.

Governing Law

This agreement shall be governed by the laws of the State of Florida.
